Adora Baby Gifts Wholesale Terms and Conditions
Thank you for your interest in becoming a retail partner with Adora Baby Gifts. By accepting and signing our wholesale terms and conditions, you acknowledge that you meet the following criteria:
GENERAL TERMS OF AGREEMENT
Valid Business: To qualify for wholesale purchases, you must operate a valid business entity. Your agreement to these terms certifies that you meet this requirement.
Selling Authorization: You are only authorized to sell Adora Baby Gifts products through the retail store/website that you have provided. Selling in secondary stores and on online marketplace platforms like Amazon and eBay is strictly prohibited without prior written consent.Â
MINIMUM ORDER VALUE
There is no minimum requirement for individual SKU or color orders.
MINIMUM ADVERTISED PRICE (MAP) & MSRP
As a retailer, you are required to adhere to the MAP price (minimum advertised price) for all our products. This means you may not publicly advertise our goods at a price lower than the MSRP (Manufacturer's Suggested Retail Price), except in the following case: If the retail store chooses to run a sale or promotion independently, they are permitted to do so, provided that they explicitly specify that these prices are their own sale prices and not the MSRP. This ensures transparency and allows retailers to offer discounts to their customers without violating the MAP policy.
HOW TO ORDER
All wholesale orders should be placed on our dedicated B2B website. Once agreed to this agreement, we will create an account for you, enabling you to access our site and place orders. The email used to set up the account must match the email used for order placement. If you encounter any issues while ordering, please contact sales@adorababygifts.com.
PAYMENT
Payment terms require prepayment. As part of our payment process, you are required to provide a valid credit or debit card to be kept on file. By default, your card on file will be charged after 30 days from the date of placing your order. This ensures a seamless and timely payment process.
DELIVERY & SHIPPING
Please allow up to 5 business days for your order to be processed and shipped. In most cases, your order will depart from our warehouse sooner. We do not deliver to PO Boxes. Shipping charges will be calculated and added to your order total during the checkout process. We require two contact numbers and an email for your account. Any order returned after shipping due to delivery issues will incur a 10% restocking fee, with any unpaid shipping charges deducted from your refund.
INTERNATIONAL DUTIES
We welcome international orders, but it's important to note that the customer assumes full responsibility for shipping and handling in these cases. Adora Baby Gifts does not accept any responsibility for the shipping and handling of international orders. It is the customer's responsibility to arrange, manage, and oversee all aspects of the international shipping process, including any related costs, duties, taxes, and customs requirements. Please ensure that you are well-informed and prepared to handle these matters for a smooth international transaction.
DAMAGES / DEFECTS
Upon receipt, please inspect all shipments immediately. In the event of damaged, incorrect, or defective shipments, please contact us at sales@adorababygifts.com within 5 days. We will replace damaged items with new merchandise. Returns will not be accepted if reported more than 30 days after receipt.
RETURNS / EXCHANGES
Wholesale merchandise may be returned or exchanged within up to 30 days of receipt if found to be defective. Please inspect all shipments immediately upon arrival and report any issues promptly.
BRAND ASSETS AGREEMENT
Any Third-Party Company or individuals must clearly state on all social media accounts that they are not affiliated with, do not represent, nor are employed by Adora Baby Gifts. Adora Baby Gifts reserves the right to make changes to the logo, account name, and any photos featuring the Adora Baby Gifts logo. We also reserve the right to revoke the privilege of any Third-Party Company or individual using the Adora Baby Gifts logo, account name, or photos if deemed necessary. The Third-Party Company must tag @adorababygifts on any photos used from the Adora Baby Gifts Instagram account or any other images owned by Adora Baby Gifts.
